租船合同

IT IS THIS DATE MUTUALLY AGREED BETWEEN THE CHARTERERS AND THE OWNERS

UNDER THE FOLLOWING TERMS AND CONDITIONS:

经船东和租船方友好协商, 双方于以上日期达成如下协议条款:

 

-OWNERS:  船东

-CHARTERERS: 租家

               

PERFORMING VESSEL OR SUB VESSEL 执行船舶或替代船:

 

2. CARGO & QANTITY: 26,000MTS IRON ORE IN BULK 5%MOLCO BUT ALWAYS SUBJ DISCH DRAFT LIMIT 9.5M S/W; CHARTERERS GUARANTEE THAT THE ENTIRE CGO IS LEGAL/HARMLESS/SAFE WITH ALL RELEVANT REQUIRED FORMALITIES AND documentS/CERTIFICATES BEING FULLY CLEAR AND BE FULLY READY. THE ABOVE MENTIonED CARGO TO BE LOADED/STOWED/ TRIMMED/ DISCHARGED AS PER THE LATEST IMO/IMSBC RULES/REGULATIONS, MASTER TO ConFIRM THE FINAL QTTY OF LOADING 3 DAYS BEFORE VSL’S ARRIVAL AT LDG PORT.

货物名称和数量: 26,000 吨散装铁矿5%增减由租家选择基于卸港9.5米海水吃水;租家保证所装货物是合法的、无害的、安全的,并提供清晰的货物相关的备妥文件、检验报告,该货物的装卸、理舱、平舱须根据国际海事组织和国际散装货物公约的最新规定,船长在抵达装货港3天前宣载;

 

3. L/D PORT: 1SBP FANGCHENG,SCHINA / 1SBP SURABAYA,INDONESIA;

/卸货港: 中国 防城港一安全港口安全泊位 / 印尼 泗水港一安全港口一安全泊位.

 

4. LAYCAN: JAN 5-15 TH, 2015;

受载期: 201515-15日;

 

5. L/D RATE: 8,000MT PWWD SHINC / 3,500MT PWWD SHINC;

/卸率: 装率每天8,000, 周末节假日包括在内, 卸率每天3,500 , 周末节假日包括在内;

 

6. LAYTIME SHALL COMMENCE FROM 12 HOURS AFTER NOTICE OF READINESS HAS BEEN GIVEN, UNLESS LOADING/DISCHARGING SOonER COMMENCED, IN WHICH CASE THE ACTUAL TIME USED TO BE COUNTED AS LAYTIME.

装卸时间从备妥通知书中所示到港时间的12小时之后开始起算,除非装卸作业早于该12小时进行,则从实际开始时间起算装卸时间。

 

7. FREIGHT RATE: USD10.50/MT FIOST BSS 1/1. IF VSLS UNBALANCE DUE TO BAD LOADING, TRIMMING TBF CHRTRE ACCT.

运费率: 运费每公吨10.5美元基于船东不管装卸货物、平仓、理仓、一港装一港卸运费条款. 因为装货,为了航家负责。

 

8. FULL FREIGHT PLUS LOADING PORT'S UNDISPUTED DEMMURRAGE SHALL BE PAID AFTER COMPLETION OF LOADING AND ALWAYS BBBOWNER TO SIGN / RELEASE ORIGINAL B/L MARKED  "FREIGHT PAYABLE AS PER C/P" WITHIN 3 DAYS AFTER COMPLETION OF LOADING. AND OWNER HAS RIGHT TO REFUSE TO DISCHARGE OR DELIVER CGO IF FRT AND DEMURRAGE AT LOADING PORT ARE NOT PAID AND ANY LOSSES DUE TO DELAYED PAYMENT TO BE FOR CHRTRS ACCOUNT. FULL FREIGHT DEEMED AS EARNED, DISCOUNTLESS, NON-RETURNABLE WHETHER CARGO AND/OR VESSEL LOST OR NOT LOST.

租家在装货完毕后支付全部运费以及装港滞期费到船东指定账户,但无论如何必须在船舶靠泊卸货之前。船东在装货完毕后的3个工作日内签发标注“运费根据租约支付”的正本提单给发货人/租家。如果在合同规定时间内运费仍未支付,船东有权留置货物,由此产生的一切费用、时间延误和损失由租船人按照船舶实际损失和由此产生的其他损失支付给船东。全额运费和装港滞期费未支付之前,租家无权报关提货。当货物已装妥完毕并支付运费后,无论船舶或者货物是否灭失,运费都视为无折扣和不可撤消。

 

9. DEAD FREIGHT TO BE PAID TO THE OWNERS IF THERE IS NO CARGO TO LOAD ON BOARD OR CARGO IS LESS THEN THE MASTER'S NOMINATED QUANTITY.

亏舱费: 如果租家无货物或者货物数量少于船长宣载的数量, 则租家必须向船东支付全额运费或者短少货物的运费作为亏舱费.

 

10. DEMMURRAGE/DISPATCH MONEY AT BENDS: USD6,500 PDPR. DEM IF ANY OCCURRED AT LDG PORT TB SETTLED TOGETHER WITH OCEAN FREIGHT AND ALWAYS BBB, ALL DISP AND DEM AT DISCH PORT TB SETTLED WITHIN 5 DAYS AFTER COMPLETION OF DISCHARGE AND ALWAYS BEFORE CARGO’S DELIVERY.ALL DEMURRAGE IS DISCOUNTLESS. onCE ON DEMURRAGE, ALWAYS ON DEMURRAGE.

滞期费/速遣费率:滞期费6,500美元/,,不足一天按比例计算。如果产生, 在装港的滞期费, 连同海运费一起支付, 且一直于卸货前。两港速遣费和卸港滞期费在完成卸货后的5天内处理且一直于放货前支付。滞期费无优惠无折扣。一旦滞期,永远滞期。

 

11. CHARTS WARRANT LOADING WILL COMMENCE WITHIN 3 DAYS AFTER LAYTIME COMMENCE COUNTING, IF NOT, CHARTERER SHOULD PREPAY DEMURRAGE USD13,000/2DAYS TO OWNER, OTHERWISE, DEPOSIT TO BE UN-REFUNDABLE, AND OWNER ALSO HAS THE RIGHT TO CANCEL THIS F/N AT ANY TIME AND CLAIM ALL COSTS/BUNKER CONSUMPTION/RUNING COST BSS OPEN BOOK SYSTEM. 

租家保证装货在载期开始计算后的3天内开始,如果不能,租家应预付每两天13,000美元的滞期费。否则,船东有权随时取消该航次,并有权对船舶发生的一切时间/燃油/营运成本的损失进行追索。

 

12. NOR CAN BE TENDERED BY MASTER OR AGENT UPON VSL'S ARRIVAL AT OUTER ANCHORAGE OF L/D PORT BY CABLE OR EMAIL ANYTIME AT DAY OR NIGHT, W.W.W.W., SHINC PROVIDED VESSEL IS IN ALL RESPECTE READY FOR LOADING.

备妥通知书由船东或船代在装/卸港外锚地通过电报或者邮件递交. 无论船舶进港与否,无论靠泊与否,无论清关与否,无论检疫与否,只要船舶一切准备就绪。

 

13. LAYTIME AT BOTH ENDS IS NON-REVERSIBLE.

两港装卸时间独立计算, 不可调剂使用.

15. ANY TAXES AND DUES ON VESSEL/FREIGHT TO BE FOR OWNERS ACCOUNT, SAME ON CARGO TO BE FOR CHARTERER’S ACCOUNT.

与船舶/运费有关的一切税费由船东支付,而与货物有关的一切税费由租方支付。

 

16. OWNERS/MASTER/AGENTS TO NOTIFY CHRTRS BY CABLE/FAX/TLX OF 5/4/3/2/1 DAY(S) NOTICE OF VSL'S ETA LOADING/DISCHARGING PORT(S).

船东或其代理应在船舶抵达装卸货港的前5/4/3/2/1天以电报或者传真等方式通知租家船舶的预计到达时间。

 

17. AT LOADING PORT, LOADING TB DONE BY SHORE CRANES AT CHARTERERS ACCOUNT.

AT DISCH PORT, CHRTRS CAN USE SHIP’S CRANE/DRRK TO DISCH THE CARGO,IF VESSEL CRANES/GEARS HAVE A BREAKDOWN,THE DISCH TO BE DONE BY SHORE/FLOATING CRANE WHICH TO BE FOR OWNERS ARRANGEMENT & ACCOUNT;

在装港,由租家负责安排使用岸吊装货,在卸港,租家可以使用船吊机进行卸货,如果船吊机出现故障,船东安排岸吊或浮吊。

18. AS PER GENCON 1994, FOR OCCASIonAL STEVEDORE DAMAGE , NO MATTER OCCURRED AT LOADING PORT OR DISCHG PORT, CHTR/STEVEDORE HAS THE OBLIGATION TO COMPLETE REPAIR TO THE SATISFACTION OF MASTER IF REQUESTED BY OWNER BEFORE VSL LEAVES. ANY TIME LOSSES CAUSED BY CHTR’S DELAY REPAIR SHOULD BE DEEMED AS LAYTIME FOR CHTR’S ACCOUNT; FOR PERMANENT STEVEDORE DAMAGE, CHTR TO PAY OWNER AS PER ACTUAL REPAIR VOUCHER WHEN VSL ENTERING DD NEXT TIME.

根据金康租船条款1994,装卸公司对于船舶造成的损坏,无论发生在装港还是卸港, 对于需要临时性可以修理的损坏, 如果船东有要求, 租家/装卸公司有义务在开航前完全修复损坏直至船长满意, 由于修复所造成的任何时间损失应记入装卸时间并由租家来承担; 对于需要永久性修理的损坏, 租家在船下次进坞修理时按照实际修理发票支付给船东.

 

19. SEPARATION/DUNNAGE/COVER IF ANY TBF CHRTRS ACCT AT BENDS.

如果需要隔票,垫舱,附加篷布等,费用由租家负责

 

20. IF ORIGINAL BILL(S) OF LADING DO NOT ARRIVE BEFORE VESSEL’S ARRIVAL DISCH PORT,OWNER/MASTER AGREE TO DISCHARGE THE ENTIRE CARGO AGAINST THE CHRTRS LOI AT OWNERS FORMAT BUT BSS ALL PAYMENTS ARE DONE IN ORDER. CARGO'S RELEASE TB ConDUCTED AGAINST onLY THE ORIGINAL BILL OF LADING OR THE RECEIVER'S BANK LOI.

如果船舶到达卸港前正本提单未到,船东/船长/代理可以凭租家保函卸所有货物,但必须基于所有费用结清之后。货物的放货手续凭正本提单或者收货人银行保函执行。

 

21. CARGO QTTY TO BE ASCERTAINED BY JOINT DRAFT SURVEY AT SHIPPERS/RECEIVERS ARRANGEMENT AND ACCOUNT. TIME OF DRAFT SURVEY TB COUNT AS LAYTIME.

货物数量以水尺检验数量为准。水尺时间记入装卸时间。

 

22. ANY LIGHTERING/LIGHTERAGE/SHIFTING AT BENDS TBF CHRTRS ACCT.

驳船作业和移泊作业,由租家负责安排和支付费用。

 

23. ANY DISPUTES OUT OF THIS FIXTURE NOTE TO BE REFERRED TO ARBITRATION IN HonGKONG ACCORDING TO ENGLISH LAW. THE DECISION SHALL BE FINAL.

此租船协议下产生的任何异议, 均以香港的仲裁机构和英国法律为准。裁决为最终裁决。

 

24. OTHERS TERMS N ConDITIONS AS PER GENCON 1994 DETAILS AND BIMCO.

以上所提及的和其他未提及的条款,应参照金康1994版租船合同细则以及波罗的海国际海事公会有关条款。

 

25. CHARTERERS WARRANT CARGO IS LAWFUL/PERMITTED TO BE EXPORTED FROM CHINA  importED TO INDONESIA.

租家保证该货物在中国出口和在印度尼西亚进口的合法性.

 

26. IF VSL CAN NOT SAIL BECAUSE SHIPPERS / RECEIVERS documentATION IS NOT READY AFTER COMPLETION OF LOADING OR DISCHARGING, ALL DELAY TB COUNT AS LAYTIME.

如果完货后船舶因为收/发货人的单证未妥无法离港,期间时间记入装卸时间。

 

27. THIS ConTRACT IS DONE IN ENGLISH AND CHINESE.IF THERE IS ConTRADICTION BETWEEN THESE TWO VERSIONS, ENGLISH VERSION IS VALID.

该合同以中英文显示,以英文文字为准。
